Board Policy CA-270: Attendance at Meetings of the Board of Directors and its Committees

Ensure that the members of the Board and its committees share their expertise and show good judgment in the course of the Network’s activities and affairs by attending the meetings of the Board and its committees.
This policy applies to the elected and appointed members of the Board and its committees.
In principle, the members of the Board and its committees must attend all meetings.
It may occur that a member of the Board is unable to attend certain meetings due to unforeseen commitments or circumstances. A 75 percent attendance rate is acceptable.
Where a member of the Board fails to attend 75 percent of the meetings of the Board or one of its committees within a 12-month period or is absent from three consecutive meetings, the Chairperson will speak to the member about the reasons for their absences to attempt to correct the situation. Measures up to and including asking the member to resign could also result.
A member’s attendance record must be considered when deciding whether to reappoint the member to the Board or appoint the member to a committee.
If a member of the Board or one of its committees is an ex officio member of the Board, the Chairperson may discuss the member’s participation with the organization’s President and CEO to take steps to correct the situation or appoint another ex officio member to the Board.
The Chairperson may, at their discretion, determine whether a member’s absences from the Board or one of its committees are valid and may grant the member a limited period of time to organize their schedule to eliminate scheduling conflicts with the planned meetings of the Board or one of its committees.
